Terms of Service

These Terms and Conditions ("Terms") govern your use of the Engage To WhatsApp Business API Solution ("App") owned by Dhinwa Solutions Private Limited ("we," "us," or "our"). By accessing or using our App, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the App.

1. Use of the App

Account Responsibility: You are responsible for safeguarding your account details and any activities that occur under your account. Please ensure the information you provide is accurate and up to date. You must notify us immediately of any unauthorized use of your account.

Prohibited Conduct: You agree not to misuse the App. This includes, but is not limited to, actions such as transmitting harmful software, engaging in harassment, impersonating other users, or violating applicable laws and regulations.

2. Service Availability and Modifications

We aim to ensure the App operates smoothly but cannot guarantee uninterrupted service. We reserve the right to modify, suspend, or terminate the App or any feature within the App at our discretion, with or without notice.

3. Integrations and Third-Party Services

Our App offers the ability to integrate with certain third-party applications and platforms. By choosing to use these integrations, you acknowledge and agree to the following:

User Responsibility: You are responsible for understanding and agreeing to any terms and conditions or privacy policies associated with third party platforms you choose to integrate with our App.

Data Sharing: By enabling integration, you authorize us to share relevant data with these third-party platforms to facilitate the functionality of the integrated services. We are not liable for the actions or data practices of these third parties.

Termination of Integration: We reserve the right to modify or terminate integration with third party services without prior notice if necessary for operational, security, or other business reasons.

4. Meta / WhatsApp Platform Compliance and Account Status

Nature of Our Role: Engage To operates as a WhatsApp Business Solution Provider (BSP) / technology partner that enables access to the WhatsApp Business API and related Meta Platforms ("Meta Platforms"). We do not own, operate, or control Meta Platforms, and we have no authority over Meta's policies, review processes, approval decisions, or enforcement actions.

Sole Responsibility of the User: You are solely and entirely responsible for your use of the WhatsApp Business API and Meta Platforms through the App, including but not limited to your message content, templates, broadcast lists, opt-in and consent practices, data handling, and overall compliance with the WhatsApp Business Messaging Policy, WhatsApp Commerce Policy, Meta Business Help Center guidelines, and any other policy issued by Meta or its affiliates, as amended from time to time. It is your responsibility to review and remain current with these policies independently of any information provided by us.

No Liability for Meta's Actions: In the event that your WhatsApp Business Account (WABA), phone number, Meta Business Manager account, or any associated asset is banned, suspended, restricted, rate-limited, quality-downgraded, flagged, or otherwise actioned by Meta or WhatsApp for any reason whatsoever — including but not limited to policy violations, spam or abuse reports, content violations, non-compliance with opt-in requirements, or any determination made at Meta's sole discretion — such action shall be your sole and exclusive responsibility. Dhinwa Solutions Private Limited and Engage To shall bear no responsibility or liability whatsoever for any such action, and you shall have no claim against us for any resulting loss, damage, business interruption, loss of data, loss of revenue, or any other direct or indirect consequence.

No Guarantee of Approval or Reinstatement: We do not guarantee, warrant, or represent that your account, number, or templates will be approved, remain active, or be reinstated by Meta at any time. Any assistance we may provide in relation to appeals, escalations, or communications with Meta is offered purely as a discretionary courtesy and does not constitute a guarantee of outcome, nor does it create any obligation on our part to secure a favorable result.

Indemnification for Non-Compliance: You agree to indemnify and hold us harmless from any claims, penalties, losses, or damages arising from your failure to comply with Meta's policies or from any action taken by Meta against your account as a result of your use of the App.

5. Intellectual Property

Ownership: All intellectual property rights in and to the App, including but not limited to software, text, graphics, logos, and trademarks, are owned by us or our licensors. You may not use any of our intellectual property without prior written consent.

User Content: By submitting content, such as feedback or suggestions, within the App, you grant us a perpetual, irrevocable, royalty free, worldwide license to use, reproduce, and modify such content for operational, improvement, or promotional purposes.

6. Limitation of Liability

To the maximum extent permitted by law, Dhinwa Solutions Private Limited and Engage To shall not be liable for any direct, indirect, incidental, or consequential damages arising from or related to your use or inability to use the App. This includes, but is not limited to, damages for loss of profits, data, goodwill, or other intangible losses.

7. Indemnification

You agree to indemnify and hold harmless Dhinwa Solutions Private Limited, Engage To, and our officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees, arising from or related to your use of the App, violation of these Terms, or infringement of any third party rights.

8. Termination

We reserve the right to suspend or terminate your access to the App at our sole discretion, with or without notice, if you violate these Terms or engage in conduct detrimental to the App or other users. Upon termination, your right to use the App will immediately cease, and any data related to your account may be deleted or inaccessible.

9. Governing Law

These Terms and your use of the App are governed by the laws of Indian Constitution. Any disputes arising from or related to these Terms, or the App, shall be resolved in the competent courts of the High Court of Bengaluru, Karnataka, India unless otherwise required by applicable law.

10. Changes to the Terms

We may revise these Terms from time to time to reflect changes in our App, services, or legal obligations. When changes are made, we will update the "Last Updated" date at the bottom of this document. By continuing to use the App, you agree to the revised Terms.
